Biography
Peter is a leading corporate lawyer in Manitoba in the areas of securities law and mergers and acquisitions.
He has particular experience acting for private companies on divestitures and acquisitions, and for private equity and venture capital funds. He has advised a number of entities in Manitoba's economic landscape and capital markets across a variety of industries, including agriculture, manufacturing, heavy construction, waste management, technology, communications, real estate investment, mining and energy. His client base includes some of Manitoba’s best-known and largest corporations.
He advises entities and investors on mergers and acquisitions, reorganizations, private and public offerings of debt and equity securities, public company reporting obligations and disclosure matters. He can also advise on shareholder activism, securities regulatory compliance, and corporate governance matters for public and private entities.
Peter holds an ICD.D designation and provides legal advice to corporate boards and board committees on corporate governance and in furtherance of the fulfillment of their legal duties and mandates, including in connection with mergers and acquisitions.
Peter serves on the Board of Directors of Kidthink Children’s Mental Health Centre Inc. and Balmoral Hall School Foundation. He has previously served on the Board of Directors of St. John’s Ravenscourt School and the Children’s Hospital Foundation of Manitoba.

- Acted as lead counsel for Payworks Inc. and its shareholders in connection with a strategic transaction with private equity fund Hg Capital.
- Acted as lead counsel for the MacDon Group of Companies and its shareholders in connection with the sale of its shares to Linamar Corporation for a total purchase price of $1.2 billion.
- Acted as lead counsel for Monarch Industries Limited and its shareholders in connection with a transaction with a group led by private equity fund TriWest Capital Partners along with BDC Capital’s Growth Equity Partners, BMO Capital Partners and Export Development Canada.
- Acted as lead counsel for Omar’s Environmental Inc. and its shareholders in connection with the sale of its shares to GFL Environmental Inc.
- Acted as lead counsel for Main Line Industries Ltd. and its shareholders in connection with the sale of its shares to Tervita Corporation.
- Acted as lead counsel for DWB Consulting Services Ltd. and its shareholders in connection with a transaction with private equity fund CAI Capital Partners.
- Acted as lead counsel for Smith Carter Architects and Engineers Inc. and its shareholders in connection with a transaction with Genivar Inc.
- Acted as counsel to Bagos Bun Bakery Ltd. (o/a Sons Bakery) and Baldinger Bakery LP in connection with its sale to CH Guenther and Son and Pritzker Private Capital.
- Acted as lead counsel to Fresh Hemp Foods Ltd. (o/a Manitoba Harvest) and its shareholders in connection with a transaction with private equity fund Compass Diversified Holdings for a total purchase price of $135 million.
- Acted as lead counsel to Russell Redi-Mix Ltd. and its shareholders in connection with the sale of its shares to Coco Paving Inc.
- Acted as counsel to Custom House Ltd. and its shareholders in connection with the sale of its shares to The Western Union Company for a total purchase price of $370 million (US).
- Acted as lead counsel for both issuers and agents/underwriters in connection with multiple securities offerings including initial public offerings, private placements, bought deals, and prospectus (long, short form and shelf) offerings.
